TERMS AND CONDITIONS
1. Introduction
These Terms & Conditions apply to all quotations, proposals, surveys, designs, services, installations, maintenance agreements, repairs, inspections, testing, commissioning, and associated works undertaken by Harris Protection Services Ltd (“the Company”).
By accepting a quotation, instructing works to proceed, paying a deposit, or entering into any maintenance or service agreement, the Customer agrees to be bound by these Terms & Conditions.

3. Quotations & Acceptance
All quotations remain valid for thirty (30) days from the date of issue unless otherwise stated in writing by Harris Protection Services Ltd.
Following expiry of the quotation validity period, Harris Protection Services Ltd reserves the right to review and amend pricing, specifications, labour allowances, material costs, and project timescales to reflect current market conditions and supplier pricing.
Acceptance of a quotation constitutes acceptance of these Terms & Conditions together with any associated Scope of Works, Design Proposal, Equipment Schedule, Specification, or Contract Documents.
No contract shall exist until written acceptance has been received by the Company.
4. Pricing & Variations
Quotations are based upon information available at the time of survey, design, and pricing.
Additional charges may apply where:
Customer requirements change after acceptance.
Previously concealed site conditions are discovered.
Existing installations are found to be unsafe, defective, or non-compliant.
Additional labour, materials, access equipment, or specialist services may be required.
Delays occur due to third parties, restricted access, or circumstances beyond the Company’s control.
All variations shall be charged at the Company’s prevailing rates unless otherwise agreed in writing.
5. Installation & Commissioning
All installations shall be carried out in a professional and workmanlike manner using suitable materials and equipment appropriate for the intended application.
Upon completion, systems shall be tested, commissioned, and, where applicable, demonstrated to the Customer.
Relevant certification, handover documentation, operating instructions, and user guidance shall be provided where applicable.
Installation dates and completion periods are estimates only and may be affected by circumstances beyond the Company’s reasonable control.
6. Customer-Supplied Designs & Third-Party Specifications
Where Harris Protection Services Ltd undertakes works based wholly or partially upon designs, drawings, specifications, layouts, equipment schedules, calculations, performance requirements, or instructions supplied by the Client, Principal Contractor, Architect, Consultant, Engineer, or any other third party, Harris Protection Services Ltd shall not be responsible for the adequacy, suitability, compliance, effectiveness, performance, or completeness of such information.
Harris Protection Services Ltd shall be responsible only for carrying out the installation in accordance with the information provided and applicable industry standards.
Any deficiencies, omissions, errors, coverage issues, performance limitations, regulatory non-compliance, operational shortcomings, or additional costs arising from a third-party design shall remain the responsibility of the party responsible for producing that design.
Where Harris Protection Services Ltd identifies an apparent issue within a customer-supplied or third-party design, reasonable efforts will be made to notify the Client. However, Harris Protection Services Ltd shall not be deemed to have accepted responsibility for reviewing, redesigning, validating, or certifying that design unless specifically contracted to provide design services.
Any additional works arising from design omissions, design changes, errors, unforeseen site conditions, or client instructions shall constitute a variation to the Contract and may be subject to additional charges.
7. Intellectual Property & Design Ownership
All quotations, designs, drawings, schematics, calculations, system layouts, equipment schedules, technical specifications, proposals, risk assessments, scopes of work, and associated documentation produced by Harris Protection Services Ltd shall remain the intellectual property of Harris Protection Services Ltd unless otherwise agreed in writing.
The submission of any quotation, proposal, drawing, design, or specification does not grant ownership or rights of use to any third party except for the purpose of evaluating the Company’s proposal.
Where Harris Protection Services Ltd is not awarded the contract, the Client shall not permit, authorise, or facilitate the use, copying, reproduction, adaptation, distribution, or installation of any design, specification, layout, or proposal produced by Harris Protection Services Ltd by any third party without prior written consent.
Harris Protection Services Ltd reserves the right to recover reasonable design fees, legal costs, and associated losses arising from any unauthorised use of its intellectual property.
8. Ownership of Equipment
All equipment, materials, and goods supplied remain the property of Harris Protection Services Ltd until payment has been received in full and cleared.
The Company reserves the right to remove equipment supplied where payment remains outstanding beyond agreed payment terms.
Title to goods shall not pass until all sums due under the Contract have been paid in full.
9. Customer Responsibilities
The Customer agrees to:
Provide safe and unrestricted access to all work areas.
Ensure suitable electrical supplies are available where required.
Inform the Company of any known hazards, asbestos, site restrictions, or concealed services.
Prevent unauthorised interference with installed systems.
Notify the Company of alterations that may affect system performance.
The Customer shall be responsible for any delays or additional costs resulting from restricted access, unsafe conditions, inaccurate information, or third-party interference.
10. Maintenance & Service Agreements
Where maintenance services are provided, routine inspections and testing shall be carried out in accordance with the relevant standards and manufacturer recommendations.
Maintenance agreements do not normally include replacement batteries, consumables, accidental damage, vandalism, misuse, environmental damage, power surges, lightning strikes, flooding, fire damage, or third-party interference unless specifically stated.
Call-out attendance outside of warranty or maintenance provisions may be chargeable.
11. Warranty
Unless otherwise stated in writing, installations supplied and installed by Harris Protection Services Ltd include a twelve (12) month workmanship warranty from the date of practical completion.
Manufacturer warranties remain subject to the terms and conditions of the respective manufacturer.
Warranty does not cover:
Accidental damage.
Misuse or neglect.
Third-party interference.
Environmental damage.
Power surges.
Fire, flooding, storm damage, or lightning strikes.
General wear and tear.
Consumable items, including batteries.
12. Standards & Compliance
Where applicable, systems shall be designed, installed, tested, and maintained in accordance with relevant standards, including but not limited to:

BS EN 50131 Intruder & Hold-Up Alarm Systems
PD 6662
BS EN 62676 CCTV Systems
BS 5839 Fire Detection & Alarm Systems
BS 5266 Emergency Lighting
Current Building Regulations
UK GDPR and Data Protection legislation, where applicable
Compliance certification shall be issued only upon completion of the works and settlement of all outstanding balances.
13. Payment Terms
Unless otherwise agreed in writing:
40% Deposit upon acceptance.
40% Interim payment at the agreed project stage.
20% Balance upon practical completion and certification.
Invoices are payable in accordance with the payment terms stated on the quotation or invoice.
The Company reserves the right to suspend works, withhold certification, delay handover, or remove labour resources from the site where payments become overdue.
Late payments may incur statutory interest and recovery costs pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.
14. Cancellation
Where a customer cancels work after acceptance, Harris Protection Services Ltd reserves the right to recover costs incurred, including:
Design and engineering time.
Labour already undertaken.
Materials ordered or purchased.
Specialist equipment hire.
Third-party costs.
Administrative expenses.
Special order and non-returnable items shall be chargeable in full.
15. Limitation of Liability
Whilst electrical and security systems are designed to reduce risk, no system can guarantee prevention of intrusion, theft, fire, damage, equipment failure, or loss.
Harris Protection Services Ltd shall not be liable for:
Loss of profits.
Loss of business.
Business interruption.
Consequential losses.
Indirect financial losses.
Failure of utility supplies.
Failure of internet, mobile, broadband, or communication services.
The Company’s total liability arising from any contract shall not exceed the total contract value of the works undertaken.
Nothing within these Terms excludes liability where such exclusion is prohibited by law.
16. Force Majeure
The Company shall not be liable for delays or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to:
Supplier shortages.
Utility failures.
Extreme weather.
Industrial disputes.
Government action.
Transport disruption.
Acts of God.
Other unforeseen events.
17. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising from works carried out by Harris Protection Services Ltd shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
